my bad!!!

    -style    => WS_MINIMIZEBOX | WS_SYSMENU | WS_NORESIZE,

is what you want ... the other will still resize ... but this one will allow you to 
minimize and not resize and gives
you the ability to Close it as well.  I hope this helps.
