I had a similar experience. Could not use the win98 startup floppy to format c: when C: was an NTFS drive. (I wanted to install win98SE on c: as part of a dual boot sysem).
I may have been able to do that with the XP CD, but because maybe it was an OEM cd, it would only show NTFS. I copped out. Used Partition Magic (from its rescue disks) to format c: in FAT32. (Now my startup disks work ok.)
