Yes, you will need a second license. The licensing model is one license per machine. There is no sharing within the 'household', or with a laptop (although this is possible with Office). The lowest cost license is an OEM license, then retail upgrade then retail full being the most expensive. You don't need to upgrade an existing copy of Windows, merely have the install disc and license for a previous version. The Upgrade version CAN BE USED FOR A CLEAN installation. The OEM license (may not include CD or media) can qualify on either a new PC or with qualifying upgrades when purchased at the same time, these are: RAM, hard drive, mainboard. (and possibly CPU) You can buy an OEM license from a local system builder or PC shop.
