I ran chkdsk from Revovery Console via WIN XP CD --- chkdsk says there 
were errors it couldn't fix... then I removed all pci cards and then 
changed memory (Microsoft.com suggested this) and I still got the 
above error when trying to boot.

Then I installed a new hdd along with WIN XP and it works fine. Is the 
old HDD toast?
