I've posted this bug over on Launchpad for Ubuntu, but this issue is happening
in both Ubuntu 12.04 and 12.10.  I upgraded to 12.10 hoping to fix the issue. 
Additionally, I used to use Arch Linux (kernel 3.6) and I was having the same
issue.

My laptop, Dell Studio 1569 will not shutdown in Linux.  I can shutdown from
either a graphical user interface or a terminal but the outcome is the same
when I shutdown or restart.

The kernel complains about a CPU Soft Lockup.  The kernel says either Will Now
Halt or Will Now Restart but never does.  It simply says that it has some sort
of CPU stall.
