James, Install new hardware as NT4 PDC and upgrade to W2k - done it many times with no issues.
In terms of granting W2K users access to an NT4 based Exchange Server you don't even need a Trust between domains - just IP connectivity. Just have Outlook prompt for username/domain/password.
