Thank you for your update. I found a Windows server 2003 SP1 and try it version of ADUC in “Managed by” attribute and yes it does allow the group to be added to the this field. Thank you very much for your help.

In addition to the other answers you have received:

 

Windows Server 2003 SP1 version of ADUC should be able to pick a group as a manager for another group (however, I can't verify this right now).

 

To set the permission to modify the membership you can use the command:

 

dsacls DN-to-the-target-group  /G  the-manager-group:RPWP;member; 

 

Where RPWP stands for "Read Property/Write Property", and "member" is the LDAP name of the attribute in question. Yes, and the capital G stands for "grant".

We have AD 2000 and Exchange 2000 sp4. Both are set for native node. Original we were in mix mode because of NT domain. Now we are in Native mode but we are still not able to add group to the “Managed by” attribute on distribution list. In the MS Exchange 2000 Server Administrator’s companion, it stated that you can designate as owner nay user, group or contact in the Global Address Book.  Whenever we try to update the “managed by” field for any distribution list, only users and contacts are list. Even if we try adding valid group, the “select users and contact” screen pop up state that it can’t find the group.

Since we were never able to add group to the “managed by” attribute of Distribution List I am not sure if the system is behaving as design or we are missing a step when we move AD and exchange to Native mode. If anyone shares some insight into the problem, I would be greatly appreciated.
