you can introduce a new/fresh windows 2003 dc and after transfer the

yes, I reviewed this q article and based most (if not all) on this
article.  The only issue I think i have is that I need to do an upgrade
to my fizzmo master instead of just doing a dcpromo to a w2k3 box.  Am I
correct here?

I haven't looked at your event errors, just quickly going to point out a
good KB article on things to look out for when upgrading a domain from
Win2k to Win2k3:
