Exchange is not on the DC but is a requirement, currently 5.5 but needs to be 
2003 prior to rename.

Given Mark's other question... I'm assuming this is not renaming a 
domain on a DC with Exchange, right?  As even with Exchange 2003, 
renaming when that Exchange is on a DC is not supported and could be 
messy.
