What version of Premiere are you using? Based on your description of Video
1, I'm assuming Premiere 7.0 or Premiere Pro 1.x or higher.

There are two easy ways to dip to black between two clips in the above
Premiere (Pro) versions:

1. With the clips butted together, drag the Dip to Black transition (from
the Effects > Video Transitions > Dissolve folder) to the edit point where
the two clips meet. This has the effect of painting on black, so nothing
underneath can be seen.

2. Apply two single-sided cross dissolves from the same folder. a.) Hold
down the ctrl key and drag the cross dissolve transition to the end of the
first clip. b.) Hold down the ctrl key and drag the cross dissolve
transition to the start of the second clip.*

*Holding down the ctrl key when applying a transition forces Premiere (Pro)
to appy a single sided transition, rather than its default double-sided. In
other words, the transition is "linked" only to the end/start of each clip,
which allows a fade to/from black, instead of a cross dissolve between the
clips.

Subject: [AP] Newbie: Need help fading into and out of black

I have cut my avi file in the timeline into 2 pieces on video one. I
would like to fade out of black from the first piece into the second
piece.

When in the effects window i see fading but what actually happens is,
the black cuts off abruptly when the second piece comes in because the
fade is only relevent to the first piece.

Newbie needs help.
