Dear Gary, The preparedb can make changes to your database. But as far as I know, the goal is a tsm 5.5 database, so you could be safe, but I never take the risk... So if you want a fall-back, prepare for a fall-back.
During the preparedb (takes seconds) and extractdb (can take hours) your TSM5 is down and unusable. When it's done, you probable can start your TSM5 for restores or new backups what you can export/import later. For the imports I've seen 6 till 10 GB/hour.
