The IP issues should be fairly clear cut at least from the standpoint of
patents.
They either have patents on their unique technology or business process
or they don't. If they claim IP trade secrets is their issue. Then
reverse engineering them is not illegal. Maybe that's their real issue.

Infringement of technology is one thing Business processes another as BP

You are right about the source code, I suggested that right off...but 
they are avoiding that issue and trying to play more IP issues.

They have to KNOW that the source code isn't stolen just be looking at 
it logically.  Its just an excuse to go to discovery and fish for 
anything that might help them with a case.
