I’m fairly positive that that at&t uverse brand will still have to pay the 
franchise fee as long as the user is being fed via a terrestrial cable.  Since 
uverse uses row’s to deliver service they are required to pay the piper.

Curious question... In a lot of town AT&T U verse has to pay franchise fees to 
the town's just like cable does.  When they complete their purchase of DirecTV 
do they  get  to stop paying all of those franchise fees? I don't believe 
satellite TV pays any franchise fees?
