I had the same problem. I decided to just unzip the contents of the SDK package - tools directory only; you'll find the others are empty - into the the tools directory of the Android SDKs used by Eclipse.
This did the trick for Eclipse. Although, i still see that weird message when opening android.bat (see my earlier posts).
