You should consult an intellectual property attorney with these questions, or find some books out there which cover the business aspect of developing software. Generally your needs will be specific to you and this question is probably beyond the scope of this list. If it helps, I think you have to be careful with prototypes and un- realized concepts as someone can just take your idea, and it's not necessarily illegal for them to do so unless you have them sign certain agreements, or possibly have patents, etc.
