________________________________________________________________________ Update to APNIC Pty Ltd Articles of Association ________________________________________________________________________
The APNIC Executive Council (EC), including in its capacity as the Directors of APNIC EC Limited, has resolved to amend APNIC Pty Ltd’s Articles of Association to increase the number of directors of the company from eight to nine. APNIC Pty Ltd is required by law to have at least one director who is ordinarily resident in Australia. As APNIC’s new Director General, Jia Rong Low, will not be ordinarily resident in Australia it was necessary to increase the number of directors to nine to allow an Australia-resident director to be appointed to meet the legal requirement. The additional director will not have voting rights to ensure that all decision-making powers and governance of APNIC remains entrusted to the EC. The role of the resident director will be fulfilled by APNIC’s Finance Director, Nathan Harvey. The resolution was passed during the EC’s last meeting at APNIC 58 and subsequently passed by APNIC EC Limited on 15 October 2024.
