We did this and ran into no issues. We have a pretty straight-forward Remedy implementation, with the DB on a remote server so it was just a matter of the DBAs copying over the appropriate files and setting up ARSystem on the new 2005 server, and my team updating the ar.cfg file to point to the right database server.
This should be a very easy move from your perspective. Still, try it with development first in case the DBAs have an issue, but it should be simple.
