My general rule is -- if you don't know if you should upgrade or not, chances are you don't need to. Most people upgrade because there are a marked number of features that they need that 1.2 doesn't provide. I know several people who are sticking to 1.2 for the next while because it does everything they need, and they feel comfortable with it.
