Title: Definition of Governing Body

At Baystate Health System, Inc. as a result of various mergers over the years, we have 2 boards- The Baystate Health System Board of Trustees (Board of overseers) and the BHSHS (Baystate Health System Health Services - the 3 hospitals in our organization). We also have several committees that are not directly part of either board, but have overlapping members with one or both boards.  Because of this complexity, The BHS Board of Trustees has asked us (Audit Services) to help clarify what the definition of the governing body should be - that is who comprises it.  We have trustees, life trustees, board members, etc.  some with voting privileges, some without. 

How does your organization define who makes up its governing body?  What are the major committees?
