Neil,

Usually, every staff auditor should have signed an employment contract, where the 
confidentiality agreement is part of (usually the agreement needs to be signed and 
dated as well). Having this "in your pocket", the internal auditor should have 
unrestricted access to the company's staff, files and
records (hardcopy or system).
(The Principles of Auditors' Confidentiality are also governed by the IIA's Standards, 
if you should be challenged or asked for an explanation).

In reality, I have been asked to sign a confidentiality agreement, before accessing a 
vendor database. When reading the agreement, I realized it was identical to the one I 
had signed when signing my employment contract. I didn't want to challenge this, as it 
is that department's procedure to ask
users to sign the c. agreement before granting access to the DB.

To cut a long story short, if your HR department can provide you with a 
confidentiality agreement, you should have a good template.

If you are about to audit Joint Ventures (as you seem to work in an energy 
environment), the audited company (if not a 100% affiliate of your company) should 
provide you with a relevant document.
