Managed code is the one that executes inside CLR (Common Language Runtime). .NET 
language code is first converted to MSIL (M$ Intermediate Language), which is same for 
all languages. Then this MSIL contains two things namely Managed Code and Managed 
Data. Managed Data is nothing but the metadata that is stored through our MSIL 
statements. Managed Data could only be accessed using Managed Code however the Managed 
Code can access Managed as well as Unmanaged Data.   For putting it as an example, 
suppose you're storing some value in a C# primitive datatype int, it'll be manipulated 
inside CLR (managed), on the other hand unamnaged could be the one that you operate on 
from an unmanaged / external dll (by using TLBIMP etc.)   Sumit
