                Ramesh,
                    Open the 
                VB6 [Assuming you meant VB6 for VB] Project in VS.Net IDE; 
                it migrates it. It may not be 100% ready code. You may have to 
                do little bit of coding. If you want to migrate to C# then use 
                some VB.Net to C# migration tools to do so, once you migrate 
                your VB6 Project to VB.Net.
