Hi Rajesh,   I would suggest you to go with Serviced Componets if you have enough time 
for development.   The following are the points to be considered ,   1. Whu are you 
using COM components in your existing application, is it for transaction ot is it for 
object pooling.    Definitely second one is not the answere as the VB doesn;t have 
that option. It means that you need a transaction control in multiuser environment, 
Serviced componet is the better choice.   In .NET also for object pooling you need 
COM+, Enterprice services allows you to make use of the COM+ service in .NET   Thanks
