Please use the vsvars32.bat that comes with VS.NET to set the path to VS.NET (Typically under Microsoft Visual Studio .NET 2003\Common7\Tools) (You can execute the whole bat or at least you may need to run these two dos commands - I think these should do @SET FrameworkDir=C:\WINDOWS\Microsoft.NET\Framework @SET FrameworkVersion=v1.1.4322 --Now in the same batchfile...call installutil.exe ........
