Hi,
You can use the MS Media Player 7 - it can 'rip' cd audio and encode it to
MP3.  Aside from that, you can also use Real Jukebox (do a search on
download.com to find this software), or 'CD-DA X-Tractor' (also to be found
on download.com) [which is what I use for this sort of stuff in Windows]. 
Generally, if you do a search on a shareware website for 'cd audio
extraction', or 'make mp3', you will find lots of software available to do
these tasks.  Choosing among them is a matter of taste.

For playing mp3s in windows I use winamp (available from winamp.com). 
Sonique may have a slightly better decoder, but winamp uses less resources
and has a better interface IMHO.

My own favorite solution is using the BeOS to do all this, rather than the
Windows OS.  But hey, you specified win9x software, so hey... ;-)

I also recommend the Vorbis file format for future use.  It produces high
quality files, and there are no legal issues with it.
