Cannot get 2.0.46 to run on XP, but latest 1.3 is fine

The latest 1.3 release works fine on WinXP (XP professional w/ sp1), but 2.0.46 
will not work correctly.  

No errors are reported/logged, but Apache consumes 99% of CPU most of the time 
(sometimes drops to 40%-50%), and browser never successfully connects to Apache.

The thread(s) using all the CPU must not be very hight priority, because even 
when consuming 99%, the computer's desktop is still very responsive.

I've triple-checked the config, and I really don't think I'm doing anything 
wrong, and I've used Apache for years (not a novice) -- but I'm also not immune 
from pulling a Homer (D'OH!).  Any suggestions would be welcome, or 
confirmation that I'm not the only one in the world having this problem.
