httpd processes gets 100% of CPU, apache stop/kill don't work

After upgrade from 1.3.29 to 2.0.48 httpd works fine
for few hours then httpd processes get's more and more
procesor's time and do not relase it.
Httpd restart and stop does not work.
Normal kill doesn't work either, only
kill -9 or killall -9 works correct.
Configuration is:
mod_ssl/2.0.48 OpenSSL/0.9.7c mod_fastcgi/2.4.0 PHP/4.3.4
The system is Linux PLD.
