That is usually all it takes for a simple update within a major version of Cake. (1.2.0 -> 1.2.3) To be totally sure you can also replace the pre-existing files in the app-folder. These don't change often but once in a while they do.
Updating from 1.1 to 1.2 is a diffreent matter.
