it is quite likely that you'll only have to
- install CW3.2
- plug your project files in the projects/ directory
- launch cw3setup.php with a command similar to:
php cw3setup.php --install --base-url http://your/url --project
your_project ...
Possibly "incompatible" changes between 3.1.0 and 3.2.0 are listed here:

installer instructions)
* Required PHP extensions are built-in
