I strongly second Rudy's point and urge you to consider the effects of our friend Murphy and his Law. It seems he's never far from my boat.
The other thing to consider is that you may want or need to change the transducer someday. I changed my depth transducer out when I bought a new depth last year, and having it so accessible was an absolute godsend, even with the boat on the hard.
Although I hear you on the capacity of the holding tank (mine is 9 gallons and that doesn't make for long times between pumpouts), consider having to remove the beast from the V locker even once. And consider that the depth transducer is just nylon and could be damaged in a grounding (i.e. rocks, although that usually isn't a big issue in the Ches) - it's actually in a good spot for that. Getting at it in an emergency if you have to go past your holding tank would stink, literally and otherwise.

My original bronze hull fittings on my 1976 boat were not leaking, but as a test I tried to turn the head fitting by hand gently. It came off in my hand. And I was not on the hard. An interesting few moments.
If I could show you the corrosion caused by electrolyses on the piece I found my self staring at stupidly, you'd take every precaution to keep the fittings accessible you could think of. I do, now.

Okay, because they can rupture, hose fittings surely need to have access without interferrence. But, what about transducers for depth and speed logs? In the ten years I owned my C27, I've never any sign of water intrusion around them, and there's nothing really to fail. Or, am I wrong?
So, how risky do you think it would be to relocate the holding tank to the starboard v-berth locker (just forward of the head), which would place it over my depth meter transducer? My reasons for relocation have to do with a larger tank and shorter hose length (requiring less flushing volume).
