The version of IOS you are running will not support it.  FPM was first
introduced in 12.4(4)T.  You must be running the T train.

On the 12.4T the PHDFs files come automatically with the IOS image. The
directory is system:fpm/phdf/ETHER.phdf (or IP, ICMP and others)
Tyson has answered the first question. For layer 3 you do not need stack
class. Otherwise, from what I understood from the thread you gotta configure
stack
