Hello,
I'll be building a CF web site for a client, which blocks out times on a
calendar, provides secure transactional processing, private chat server,
etc..  Was recently given this lead by another consultant, and since I'm
knew to the consulting game, and know that my friend had his lawyer review
his contract, decided to modify the contract to suit my needs.

I'll be requiring 50% of the project's cost up front. Regarding the terms of
a contract, is it generally acceptable to state that a percentage of up
front money is "non-refundable", and if so, does that really hold up in
court in the event the client "changes their mind"?

Second question relates to my "moonlighting" as 1099 for the client, and the
client being "out of state". Either of you think I would have any concerns
here? This is a small project, ($3000 - $4000), but nevertheless, my time is
valuable, and since I respect those of you who frequent this group, thought
I'd ask.
