Don't expect any such contract.  It would be nice, but if the company may
fold in the next few months, they won't want to be liable for another $X
dollars to every employee.  And you may not be able to collect those dollars
in any case, should they file Chapter 11.

Trust your instincts.  Have you met the principals of the company?  Do they
seem sincere?  Do they sound committed to the vision they present for the
company?  What kind of financial backing do they have?  (If I'm not
mistaken, the number one cause of business failures is undercaptilization...
whether they come up $1,000 shy of turning a profit or $1,000,000,000 makes
little difference it puts you out of a job).  You obviously have some severe
reservations.... be honest with yourself.  What kind of chances do you give
the company?

Then there are the intangibles.  Millions of them.  What if you meet the
love of your life at the company?  They might fold tomorrow, and you'll
still be the happiest man alive.  What if you meet a truly extroadinary
group of developers and go into other business ventures with them  after the
company folds?  You can't count even remotely on any of these things
happening, but that's what dreams are for, no?
