When you buy a cert the issuer does some background work to verify that the person making the request is the owner of the domain and the company is legit.
The dedicate IP thing is because you can't use host headers over SSL, because the header is also encrypted, the server doesn't know which site to send the request to, and it doesn't know how to decrypt the request until it knows which site to use.
