For lack of a better explanation, the second one just lacks the RPG-style complexity of the first one.
For example, inventory is handled quite differently. A flamethrower takes up the same space as a stack of grenades. There's only one ammo type, but diffrent weapons use it at a different rate. The story also isn't as good. The conspiracy is more monolithic, instead of a pervasive web of various organizations. But that doesn't mean it isn't good. It is.
