Well - some crap games have had good sequels. In this case the two just aren't connected by anything other than the license - which can bode even better for it. Just look at how crap "Simpsons" games there were before "Hit and Run" or how many crap "Spongebob" games there were before "Battle for Bikini Bottom". Just because the first Matrix game sucked doesn't mean they all will. Perhaps the online format is exactly what the franchise needs.
