I agree the structure is flawed, but not for the reasons you give. The problem lies with 3 things: (1.) Comp committees and chairs that are essentially hired and paid by senior management. (2.) Boards that are essentially chaired and staffed by the CEO. (3.) Institutional investors, but more unregulated institutional investors such as hedge funds. Fix the boards (independent and audited by 3rd party auditors), and fix the rules around buying large amounts of equity.
