If you mean private private, then aol/MSN/Yahoo aren't good. There's this software that was released from Nullsoft called WASTE a while back - it does encrypted chat/file transfer without going through some company's central server. You'll have to search the web for it- AOL pulled it the day after it was released under the GPL and instructed everyone to delete it from their harddrives. It was pretty funny, I didn't even check it out until they went and made such a fuss over it.
