It is possible to run both side by side on your development box.

This is useful if you need to support CF5 systems that have yet to be migrated.

If you don't want to do this I would go for a clean install - i.e.
uninstall CF5 first.

I currently am using CF 5 server (developer edition) and want to upgrade
to CFMX 6.1 (developer edition).

When running the CFMX6.1 install you get the option of installing new or
upgrade.... if you install new, you get a bullet option to install the
developer edition, but if you select "upgrade previous CF server", the
developer's edition bullet option is grayed out

Before I possibly create problems for myself, does that mean you can't
upgrade an existing developer edition and must install new.  And if you
can only install new, should I totally uninstall the old version first?
