Yes,   i suggested two alternatives -

[A]  I own all the IP in the code, and grant him an irrevocable
perpetual license to use it and  any derivative work arising from it,
or

[B] he owns all the IP and grants me an irrevocable perpetual license
to use it and any derivative work arising from it.

He chose the second and when he signs the licence and pays me for the
work, he gets unencrypted code.

I took up Jochem's suggestion and the suggestions of several other
people on this list (what a helpful list!!) and here's what i'm doing:

I mounted the code on a site on my shared hosting service  He can test
the functionality and appearance there.  We'll work on that version of
the code until it behaves and looks how he wants it to.

Then he'll get an encypted version of the code with a time bomb in it
to load onto his servers and test that the functionality and
appearance is the same on his servers as on the staging site.

Then after he signs the licence, and pays me my final 25% payment,  he
gets the clear-text code, I walk off into the sunset counting my
money, and resolving not to do business with him again.
