Kirk, I've done the upgrade install from an NT4 to Win2K server and it was very smooth. Given the option, wiping the box clean and doing a fresh install is optimal, but I found no problems doing the upgrade either.
Having a large number of custom configuration you don't want to do over will probably be your deciding factor.
