You can try the following to help us debug this:

1. add the command line flag "--new-http" to chrome.exe. This may
result in different error code (or just work).
Please pass along your version information ("about:version") and any
error code you get in this mode.

2. If "--new-http" didn't do anything, you can try testing on a newer
build (which enables new-http by default, along with some other
fixes).
Download and launch chrome.exe:
http://build.chromium.org/buildbot/snapshots/chromium-rel-xp/4629/chrome-win32.zip

(Note that this version is just to help test, it is not ready for
primetime usage yet).

Also double check that windows firewall, norton firewall, zone alarm
etc, are not blocking chrome.exe.
