Problem solved... sort of... I ran it in "debug mode" and got the 
following error:

TCP: bind() error: Permission denied win32

I knew this wasn't a firewall or config error... so I assumed that maybe 
that port got all "clogged up", or something like that.

So I went to the "clamd.conf" and change the TCPSocket # from 3310 to 3311

...and it worked!

(glad that I was able to get this back going again... but somehow I'm 
not totally comfortable with this. There must be some needed improvement 
to prevent this from happening, right?)
