I have solved the issue for power issues. Disabling SMP support and enabling APM works 
and for vga= 788 issue you have got to enable FrameBuffer support in console 
drivers....

Same here, I have set the Real Mode Power Off option to "n" (the same
as in the 2.4.8-26mdk original kernel which came with 8.1 and this
one powers off fine on my laptop as well). The only difference on
my system is that APM is a module and not part of the kernel. Does
it really needs to be in the kernel so shutdown works ? (Bloatware
alert ;-)

I couldn't check 2.4.17, as it still does not boot...
