Both #nav and #side are floated, so the height of #content determines 
where #footer should go and how far town the shading goes.  To fix 
this, consider adding a <br class="clearing" /> element (or something 
else more semantic if it is available) and css of .clearing { clear: 
both; }

By the way, ie/win is wrong here, but it sure is convenient behavior 
sometines.
