I had this problem, openned up a PMR about it a week ago.  The resolution below did not work for 7.2 EEE (the uninstall did not uninstall).
The following resolution from the IBM Toronto lab did:

1. Run regedt32 and manually delete the key

HKLM\System\CurrentControlSet\Services\DB2_NT_Performance

2. From the command line, run "db2perfi -i" to reinstall the DB2

perfomrnance counters

3. Make sure that DB2 is running, if not, run db2start

4. Make sure that you have at least a database connection. If you don't

have a database connection, you will not be able to view the database

counters.

5. Make sure that the DB2INSTANCE is set to the correct instance name

6. Run "perfmon" from the command window

7. Click on the Add ('+') button, it may take a few seconds to intialize

all the counters. You should see the DB2 objects from the "Performance

Objects" box.

We have had that problem also.  Working with IBM, they told me to run the following commands:

db2perfi -u    uninstalls the performance monitor
db2perfi -i      installs the performance monitor
db2perfr -r User id Password   the user id needs to an administrator id and password.  This command registers performance monitor with NT.

The problem is that is the db2perf.dll in the SQLLIB\Bin directory has a different date and time stamp than the one in the WinNT\system32 subdirectory.

By running the above commands at a command prompt window, you should notice the event errors will stop occurring.  A reboot might be required for the changes to take place.

Scott,

Although I haven't found what is causing this event error, just wanted to
let you know that you're not alone!  I have noticed the same event error on
our WinNT and Win2000 DB2 servers for quite some time.  Also wondering
myself if this is any cause for concern.

Im getting an NT event error when a DB2 server boots.  The event viewer has
an entry that reads:

"The Open Procedure for service "DB2_NT_Performance" in DLL
"C:\WINNT\System32\DB2Perf.DLL" generatred an exception. Performance data
for this service will not be available.  Exception code returned DWORD 0"

Has anyone seen anything like this before?  I checked the DB2DIAG.LOG and
see nothing unusual.  Should I be concerned?  Im more heavily from the
AIX/HP world so many of these NT specifics are still new to me.
