I don't have a particularly interesting emacs setup, I've done no
modifications/customizations of my .emacs file. However, I did have
various versions installed on my machine:
emacs-wiki install
emacs20 install
emacs21-bin-common install
emacs21-common install
emacs21-el install
emacs21-nox install
emacsen-common install
xemacs21 install
xemacs21-basesupport install
xemacs21-bin install
xemacs21-mule install
xemacs21-mulesupport install
xemacs21-support install
I removed emacs20 and xemacs21 (and all its supporting packages) and
then emms seemed to install properly.
Since it is not common for people to have old versions of emacs still
installed (I was surprised actually that my installation of emacs21
didn't remove emacs20, but there may be reasons for that), perhaps a
versioned Depends is called for with emms?

Fixed in recent upload by adding Conflicts: emacs20. Had a typo in
the ChangeLog, hence the manual close.
