It's possible that I missed something else, but after following the same steps, on a similar guest host (Lenny, after apt-get update/upgrade), the end result is that vmxnet is not loaded after reboot.
Here is a relevant piece of dpkg -s open-vm-tools in that environment: Version: 2008.11.18-130226-1lenny2 Depends: libc6 (>= 2.7-1), libdumbnet1, libgcc1 (>= 1:4.1.1), libicu38 (>= 3.8-5), libstdc++6 (>= 4.1.1), procps (>= 1:3.2.7) Let me know if anything else from either environment can help clarify the results.
