Basically the new company is a little more separated from Borland than
it was when it was just a division of the company - now they will need
to hire their own secretary, accounts and sales staff etc. At the same
time Borland can continue to suck money out of DevCo simply by calling
the payments "dividends" instead of "transfers" so that bit will be a
little more obvious (assuming they choose to publicise it).

The positive side is that Borland might choose to follow through on
the original plan - now that DevCo is split off they could pump money
and ideas into it and make it a going concern in its own right, while
letting the new, separate leadership run CodeGear without having to be
primarily concerned with making the ALP business look good.
