yeah I figured it was an XP Manifest issue. I cant really
hide the image. I just made the form height change so it showed a panel at the
bottom if required.....its a bit icky, but it will do :-)

must be running with a manifest. This is expected behaviour if you are running
with an XP Manifest. Panels are
transparent.
Check
out the ParentBackground property [set it to False] (although I think there
is a bug in this property pre D2005). You may also consider hiding the
Image as a better
option.
ParentBackground property is also the answer to the
original question.
